# Commission clawback

**A commission clawback is a school's contractual right to recover commission it has already paid an agent when the enrolment that earned it unwinds — through a refund, a withdrawal, a visa refusal or cancellation, or a transfer. In practice it usually arrives not as a bill but as a deduction from the agent's next commission payment.**

The word *already* is doing the work. The industry's first defence against paying for students who evaporate is the payment trigger: commission isn't payable at enrolment but after the student survives a cut-off — most famously Australia's census date. A student who withdraws *before* census never earned the agent commission at all; that's non-entitlement, not a clawback. **The clawback begins where the census gate ends: the money is banked, and then the enrolment fails anyway.**

A concrete one: an agency earns 15% on a AUD 20,000 enrolment — AUD 3,000, paid in March. In June the student's visa is cancelled and the school refunds part of the tuition. The school offsets AUD 3,000 against the agency's July claim, and July's expected payment arrives short. If the agency already passed AUD 2,100 of that to a [sub-agent](/glossary/sub-agent.md), it now owes back money someone else has spent — unless its sub-agent agreement mirrors the clawback downstream, pro rata. Most don't, which quietly makes the [master agent](/glossary/master-agent.md) the underwriter of its whole network's refund risk.

The uncomfortable truth about most agent agreements is that the clawback clause is one sentence: no time window, no pro-rating for how long the student stayed, no stated mechanism. A well-drafted clause answers all three — and in Australia the asymmetry is stark, because the *student's* refund has a statutory deadline while the agent's clawback has none.
